What Is a Confirmation Statement?

Once known as filing an annual return, a confirmation statement is merely a yearly account required by Companies House. It updates them about any changes to your directors, secretary, registered office address, shareholders, share capital, and people with significant control.

You must file this once every 12 months, with the first confirmation statement due a year after your date of incorporation.

Confirmation Statement
Filing Requirements

A Confirmation Statement (CS01 form) is a snapshot of general information about a company's directors, secretary (where one has been appointed), registered office address, shareholders, share capital and people with significant control.

Every company must file a confirmation statement to Companies House at least once every 12 months. The window for filing the confirmation statement must be within 14 days after the anniversary of incorporation or of the made-up date of the last confirmation statement. You can file as many as you want during the year.

Simple Tip: You can find your filing date on your account with us or on Companies House's public register.

Yes, you will be able to use our Confirmation Statement service even if you did not form through us. You will first need to import your company onto our system which is a very easy process. The import is located on your dashboard, once you are logged in. You will need your company number and web filing authentication code. The Authentication Code is sent to the company's registered office address. You can request it to be resent if you do not have it.

Companies House may start the process of striking off your company if your Confirmation Statement is late. Late penalty fines do not apply to an overdue Confirmation Statement.

If you want to keep your company open, you should submit any overdue filing obligations as quickly as possible.

What Information can be updated within a Confirmation Statement?

If a company files accounts after the due date, Companies House will impose a penalty fine:

Lateness:

Less than one month - £150
More than one month but not more than three months - £375
>More than three months but not more than six months - £750
>More than six months - £1500

If company accounts are overdue the only ways to avoid the penalty are:

Dissolve the company instead of filing accounts
File the accounts and then appeal against the penalty (appeals may not be successful)

Regardless of whether your company is dormant (not trading), you still have annual requirements that your company must complete as you would do for a fully trading company. You don't have to pay Corporation Tax or send a Tax Return if you're dormant.

Your annual dormant company requirements with Companies House are:
Confirmation Statement - You will need to choose the dormant SIC code (99999)
Dormant Company Accounts - The accounts will be marked as 'nil'

You will need to notify HMRC that you are dormant to avoid the requests to submit Tax Returns.

Every year, all UK Limited companies must provide the following to Companies House:

Confirmation Statement - A general snapshot of your Limited Company. A statement to confirm the information held at Companies House is correct.
Annual Accounts - Every limited company must provide a breakdown of the financial information about your company over the accounting year. If you're a dormant company, you must file Dormant Company Accounts instead.
